TERMS AND CONDITIONS OF SALE
1. Conditions
All goods are sold subject to the following conditions, which shall apply to the exclusion of any conditions of order or purchase of the customer or other standards, specifications or particulars of or adopted by the customer. No amendment, alteration or attempt to override these conditions shall be binding on Spook Limited. (“Company”) unless confirmed in writing by a director of the Company.
2. Price
The price for goods sold shall be the ruling price (less any agreed discount) in force on the date the goods are ordered by the customer. All orders received by the Company are acknowledged by e-mail or facsimile and the price of the goods will be that quoted on this acknowledgement. All prices are exclusive of VAT and the VAT will be calculated, added and shown when checking out of the Company’s on-line shop or by the Company for any orders received by any other means.
3. Delivery
Delivery dates are approximate only and delivery will be arranged as soon as practicable. Orders will remain valid and binding notwithstanding delay in delivery. The Company will not be liable for any delay in delivery, failure to deliver, consequential or other loss due to any cause beyond the reasonable control of the Company.
4. Payment
Strictly net cash with order unless a credit account has been established with the Company. Payments for credit account customers must in any case be made no later than thirty days from the relevant invoice date. Failure to pay
for goods or for any delivery or instalment shall entitle the Company to suspend further deliveries on the same order and on any other order from the customer without prejudice to any other rights the Company may have. The Company reserves the right to charge interest on overdue accounts at the rate of 4% above the Lloyds TSB Banks base interest rate per month.
5. Risk and Title
    Risk
(a) Risk of damage to or loss of the goods shall pass to the customer at the time of delivery of the goods.
(b) Delivery of the goods shall be deemed to take place at the time the same are posted by the Company in a package addressed to the customer, placed in the hands of any delivery agent or service or, if the customer collects the goods, when the Company notifies the customer that they are available for collection.
    Title
At the Company's discretion, ownership of the goods may not pass from the Company to the customer until the customer has made a payment in full thereof (and any other monies owing to the Company). If payment is not made in accordance with these Terms & Conditions of Sale, the Company shall have the right (without prejudice to the obligation of the customer to purchase the goods, and to any other remedy that may be available to the Company) to re-take possession of goods not fully paid for, and to go upon any premises occupied by the customer, any such access to re-claim such goods shall not be unreasonably withheld.
6. Carriage
Carriage is charged on all orders to all destinations as agreed by the Company. Delivery will be by transport of the Company’s choice. If the customer requests special delivery arrangements the Company shall provide a quotation for this by e-mail. Claims for any damage, shortage, total or partial loss in transit shall be notified in writing by e-mail, letter or facsimile to the Company within 7 days of receipt of goods.  Carriage charges are subject to change and will be calculated, added and shown when checking out of the Company’s on-line shop or by the Company for any orders received by any other means.
7. Orders
Orders must be received in writing via e-mail, letter or facsimile. Verbal orders will not be actioned unless confirmed in writing. All orders are acknowledged by facsimile or email as detailed in section 12 below, to confirm both pricing and delivery times.
8. Special Orders/cancellation
Cancellation of special order items will not be allowed under any circumstances and if the customer does not accept delivery the Company will charge the customer as if the goods had been delivered. No order for stock items will be deemed to be cancelled unless written notification has been received by the Company prior to despatch of the goods, and in these circumstances a handling charge of 20% of the total order value may be levied.
9. Specification
The Company reserves the right to alter the specification of any stock items upon notification to the customer.
10. Warranty
The Company warrant that goods sold will, at the Company’s choice, either be repaired or replaced if they are found within a period of 12 months from delivery (“the warranty period”) to be defective or not in accordance with the contract or any other express description or representation given or made on the Company’s behalf. Any claim the customer may have under the warranty or any claim under any condition or warranty implied by law or any claim in respect of the goods or the workmanship in relation thereto (whether or not involving negligence on the part of the Company) shall be limited to repair or replacement as aforesaid and any condition or warranty implied by law shall cease to apply after the expiry of the warranty period and in all other cases be limited to the enforcement of the above mentioned liabilities.  The Company shall not be in any circumstances liable for any damages, compensation, costs, expenses, losses or other liabilities whether direct or consequential and any other remedy that would otherwise be available in law hereby excluded except to the extent that such exclusion is prohibited by any rule of the law. 
11. Returns
The Company will not accept any returned goods without a valid returns number as previously provided by the Company.
12. Privacy Policy
The Company does not disclose customer information to third parties. Cookies are used on our shopping site to keep track of the contents of your shopping cart once you have selected an item. Data collected by this site is used to:
a. Take and fulfil customer orders
b. Administer and enhance the site and service
c. Only disclose information to third-parties for goods delivery purposes
13. Force Majeure
The Company will not be liable to the customer or deemed to be in breach of contract because of any delay or non-performance directly or indirectly due to any cause beyond the Company’s reasonable control including without limitation lack of adequate instructions from the customer, Governmental regulations or requirements, Acts of God, unavailability of materials, work stoppages, strikes, slowdowns, boycotts or other industrial action and in such case may wholly or partially suspend shipment of goods.
14. Credit Card Security
Credit card numbers are not held on the Company’s website. A credit card number will be requested only when within the secure (SSL) area of our payment service provider Google Checkout™ details of which can be found at
www.google.com or for a full terms of Google service go here.
15. Insolvency
This clause applies if the customer makes any arrangement with its creditors or becomes subject to an administration order or (being an individual or firm) becomes bankrupt or (being a company) goes into liquidation (otherwise than for the purpose of amalgamation or reconstruction) or an encumbrance takes possession, or a receiver is appointed for any of the property or assets of the customer, or the customer ceases, threatens to cease, to carry on business, or the customer reasonably apprehends that any of the events mentioned above is about to occur in relation to the customer and notifies the customer accordingly. If any of the above applies then without prejudice to any other right or remedy available to the Company and shall be entitled to cancel the contract or suspend any further deliveries under the contract without any liability to the customer, and if the goods have been delivered but not paid for the price shall become immediately due and payable notwithstanding any previous agreement or arrangement to the contrary  
16. Law
All terms and conditions shall be governed by English Law and the English courts shall have jurisdiction in relation thereto.
